Im looking at upgrading my processor. I currently run a P4 2.4 533MHz

Im looking at the intel Pentium 4 3.0E Prescott 800MHz FSB 1MB L2 Cache Socket 478

or the
intel Pentium 4 3.2E 800MHz FSB Socket 478 Processor

Im currently running the Intel D865PERL MOBO so I should be able to handle this with little problems. Anyone see a problem with this or have another suggestion?
BTW. I would like to stay under or around $200 on the CPU.
